EdgeMode Signs Non-Binding Deal to Sell 300 MW Spain Data Center
EdgeMode has entered a non-binding offer with Spark AI Foundry to sell its hyperscale data center project in Malpica, Spain once it reaches ready-to-build status.
EdgeMode, Inc. (OTC: EDGM) announced Sunday that it has entered into a Non-Binding Offer with Spark AI Foundry Holdings LLC covering its 300 MW IT hyperscale data center campus in the Municipality of Mora, Toledo, Spain — a deal that could hand full ownership of the project to a new buyer the moment it clears a key development milestone.
Under the terms of the agreement, Spark AI Foundry would acquire 100% of the share capital of DC Estate Malpica, S.L., the Special Purpose Vehicle legally holding the Malpica project, once the development achieves Ready-to-Build status. That trigger-based structure means no transfer of ownership occurs until the project clears permitting, grid connections, and other pre-construction requirements.

The arrangement reflects a broader pattern in the AI infrastructure sector, where developers race to lock in buyers early for large-scale compute campuses before shovels hit the ground. A 300 MW facility of this scale would rank among the larger hyperscale deployments in the Iberian Peninsula, a region attracting growing data center investment due to its renewable energy availability and EU connectivity advantages.
For EdgeMode, the non-binding nature of the offer preserves optionality while signaling market validation for the Malpica asset.
